Subscriptions were supposed to be the next big thing in travel. It hasn't worked out that way. Armed with this knowledge, we are better equipped than ever to innovate and refine our approach to membership. Tripadvisor Plus subscribers whose plan ends after April 15, will receive a prorated refund. One issue with Tripadvisor Plus was that the discounted hotel rates it offered were designed to be shown behind a paywall so that only members of the subscription program could view them. But Tripadvisor instead exposed those hotel discounts to the public because it needed to get more people to enroll. That angered hotels and doomed the program. Another factor was that hotels, bent on attracting direct traffic to their own websites, were reluctant to build up the Tripadvisor brand through Tripadvisor Plus. On February 20, , Vice Chancellor J. Travis Laster of the Delaware Court of Chancery issued an opinion refusing to dismiss stockholder claims challenging the reincorporation of TripAdvisor from Delaware to Nevada and determining that the entire fairness standard of judicial review, rather than the business judgment rule, applied to the decision to reincorporate. Gregory Maffei is the controlling stockholder and a board member of TripAdvisor—a Liberty Media-affiliated company with a dual-class structure—and possesses voting control of TripAdvisor. The TripAdvisor board considered the reincorporation over three board meetings and ultimately approved the reincorporation. The board also considered that since , eight companies affiliated with Liberty Media had been the subject of stockholder lawsuits in Delaware, with five of those lawsuits occurring in the preceding five years. A majority of the public stock voted against the reincorporation.
